1. Agreement to Terms
These Terms & Conditions ("Terms") govern your access to and use of the websites, applications, APIs and services (collectively, the "Services") operated by Bounce Watch International Operating B.V. ("Bounce Watch", "we", "us"), a company incorporated in the Netherlands with its registered office at Singel 542, 1017 AZ Amsterdam, the Netherlands.
By creating an account, accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.
If you do not agree to these Terms, you must not use the Services.
2. The Services
Bounce Watch provides company-intelligence software, including:
- Signal Tracker — a tool that monitors publicly observable company activity ("signals"), generates AI-assisted outreach suggestions and email drafts, and can send emails through email accounts that you connect;
- Data Platform — a research interface for browsing company profiles, signals, markets and lists;
- Data Enrichment API — a programmatic interface for retrieving company data and signals.
We may modify, add or discontinue features of the Services at any time. Where a change materially reduces the functionality of a paid plan, we will notify you in advance where reasonably possible.
3. Accounts and Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account.
Accounts are normally created by us when an agreement is put in place, rather than by public self-registration. You agree to provide accurate, current and complete information when your account is set up and to keep it up to date.
4. Acceptable Use
You agree not to, and not to permit any third party to:
- use the Services to send unlawful, deceptive, or unsolicited bulk communications in violation of applicable anti-spam laws (including the GDPR, the ePrivacy Directive, CAN-SPAM, and equivalent national laws);
- scrape, crawl, bulk-export or systematically copy data from the Services other than through documented features (exports, API) within your plan limits;
- resell, sublicense or redistribute data obtained from the Services as a standalone dataset or competing product;
- reverse engineer, decompile or attempt to extract the source code, models or underlying data of the Services;
- use the Services to develop a competing product;
- circumvent usage limits, access controls or security measures;
- upload malicious code or interfere with the operation of the Services;
- impersonate any person or misrepresent your affiliation with any person or entity in outreach sent through the Services.
We may suspend or terminate accounts that violate this section, with or without notice depending on severity.
5. Outreach Sent Through Your Accounts
You are the sender. Emails composed or scheduled through Signal Tracker are sent through email accounts (SMTP, Gmail, Outlook) that you connect and control. You are solely responsible for:
- the content of every message sent from your connected accounts, including AI-drafted content that you approve or allow to be sent on auto-pilot;
- compliance with anti-spam, e-privacy and direct-marketing laws applicable to you and your recipients;
- honoring opt-outs and suppression requests you receive;
- the reputation and deliverability of your own sending domains.
Bounce Watch provides volume limits, scheduling controls and deliverability tooling as a convenience. These features do not constitute legal advice or a guarantee of compliance.
6. Data and Intellectual Property
6.1 Our content
The Services, including software, design, text, data compilations, models and trademarks, are owned by Bounce Watch or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes during your subscription.
6.2 Company data
Company information presented in the Services is compiled from publicly available sources and licensed datasets. It is provided "as is" for informational purposes. We do not warrant its accuracy, completeness or fitness for a particular purpose.
6.3 Your content
You retain ownership of content you submit to the Services (e.g. notes, lists, agent configuration, message templates). You grant us a license to host, process and display that content solely as needed to provide the Services.
7. AI-Generated Content
The Services use artificial intelligence to generate summaries, recommendations and email drafts. AI output may contain inaccuracies. You are responsible for reviewing AI-generated content before relying on it or sending it. AI output is provided "as is" without warranty of accuracy.
8. Plans, Billing and Cancellation
- Contracted plans. Access to the Services is normally granted under a written agreement between us and your organisation. The agreement sets the scope of your coverage (including the number of companies monitored), the fee, the term and the renewal arrangements. Where the agreement and these Terms conflict on those points, the agreement governs.
- Annual term and invoicing. Contracted plans run for a twelve-month term unless the agreement says otherwise, and are invoiced annually in advance. Prices are exclusive of VAT; VAT is added where applicable. Invoices are payable within the period stated on the invoice.
- Existing monthly subscriptions. Accounts that were created on a self-service monthly or annual plan before the introduction of contracted plans continue on the terms they signed up under, for as long as the subscription remains active. Those subscribers keep the monthly billing, self-service plan changes and cancellation described in this section, and can manage all of it from their billing settings. We are not obliged to offer those plans to new customers.
- Self-service subscriptions. Where a subscription is billed through our payment processor (Stripe), it is charged in advance for the applicable period.
- Cancellation and non-renewal. A contracted plan runs to the end of its term; either party may decline renewal by giving the notice set out in the agreement. For a self-service subscription you may cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period. We do not provide pro-rated refunds for partial periods, except where required by law.
- Changes to coverage. On a contracted plan, changes to the number of companies monitored or to the scope of the Services are agreed with your account contact and take effect as recorded in writing; any change in fee applies from the date agreed. On a self-service subscription, upgrades take effect immediately (with a pro-rated charge) and downgrades at the next billing cycle.
- Non-payment. We may suspend or downgrade accounts with failed payments after reasonable notice.
- Price changes. Fees agreed for a contracted term do not change during that term; a revised fee may be proposed at renewal. For self-service subscriptions we may change prices with at least 30 days' notice, applying from the next billing cycle.
9. API-Specific Terms
API and MCP access is included with a contracted plan, at the volume recorded in the agreement. Usage is metered in credits, consumed per request according to the modules requested. Credits have no monetary value outside the Services and expire according to the agreement or, for separately purchased packages, the terms of that package. You must not share API keys, exceed rate limits by technical circumvention, or cache and redistribute API responses beyond your internal use.
10. Termination
You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Services. Upon termination, your right to use the Services ceases; sections that by their nature should survive (intellectual property, liability limits, governing law) survive termination.
After account deletion, we delete or anonymize your personal data in accordance with our Privacy Policy.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR THAT DATA WILL BE ACCURATE OR COMPLETE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOUNCEWATCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO BOUNCEWATCH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR €100 IF YOU HAVE NOT PAID US ANY AMOUNT IN THAT PERIOD.
Nothing in these Terms limits liability for willful misconduct, gross negligence, or any liability that cannot be limited under applicable law.
13. Indemnification
You will indemnify and hold harmless Bounce Watch from and against claims, damages and expenses (including reasonable legal fees) arising from: (a) your use of the Services in violation of these Terms; (b) outreach sent through your connected accounts; or (c) your violation of applicable law or third-party rights.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced via email or in-app notice at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the Netherlands, excluding its conflict-of-law rules. Disputes shall be submitted to the competent courts of Amsterdam, the Netherlands, unless mandatory consumer law provides otherwise.
